1. Introduction

Welcome to www.aseanutdfc.com ( “Website”), operated by Sportfive Asia Pte Ltd. By accessing, browsing, or using the Website and Website Content (as defined in clause 2), you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy. If you do not agree with these Terms, please refrain from accessing and using the Website and Website Content.

2. Definitions

“Events”: Means the ASEAN Football Federation competitions marketed collectively as ASEAN United FC (namely, the ASEAN Club Championship, ASEAN Championship, ASEAN U-23 Championship and the ASEAN Women’s Championship).
"User" or "you": Refers to any person accessing or using the Website, including any registered user or member of an Account.
"Website Content": Means all content featured on the Website (including all content in your Account where applicable) and include all information, text, images, graphics, videos, audio, software, and all other forms of data or communication available on the Website.
"We", "our", "us" or “Sportfive”: Refers to Sportfive Asia Ptd Ltd and its affiliates.

3. Acceptance of Terms

By accessing or using the Website, whether or not you become a registered user, you agree to be bound by these Terms, which you acknowledge to have read and understood.

We reserve the right, in our sole discretion, to change, modify or otherwise revise these Terms at any time without prior notice to you. By using the Website, you agree that the posting of new or revised Terms shall constitute adequate notice to you. You must review these Terms on a regular basis to keep yourself informed of any changes.

4. Registration for Personal Account

4.1. You may register for a personal account (“Account”) on the Website. By registering, you acknowledge and certify that:

a) you are eligible for an Account as set forth in these Terms; and
b) the information you include as part of the registration process is accurate and not misleading. If you provide, or if we have reasonable grounds to suspect that you have provided, any information that is untrue, inaccurate, not current or incomplete, or we otherwise reasonably consider that you have failed to comply with any provisions of these Terms, we have the right to suspend or terminate your Account, and refuse your current or future use of the Website and your Account.

4.2. Accounts may only be registered for and used by individuals who are at least eighteen (18) years of age (or the equivalent age of majority in their country of residence).

5. Member Account, Password and Security

5.1 You will receive an Account upon completing the relevant registration process referred to in Clause 4 “Registration Obligations”. You are fully responsible for maintaining the confidentiality of your password and Account, and for all activities that occur under your password and Account.

terminate your access to the Website and Website Content, in whole or in part; and/or
deactivate or delete your Account and all related content in your Account.

6. Supervising Children

Sportfive is concerned about the safety and privacy of all users including registered users of the Website, particularly those not yet of legal age in their respective governing jurisdictions. Parents or guardians of any child who wish to access the Website must review and accept these Terms, and assist their child in the setting up of an Account, as well as supervise their use of the Website. By allowing your child access to the Website, you agree to be bound by these Terms, and acknowledge that he or she will be able to access all Website Content, which may now or in the future include features that may not be appropriate for use by unsupervised children. You remain responsible and liable for the acts of your child.

7. Restrictions to Use of Website Content

Website Content must not be used, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed or otherwise exploited for any other purpose than for accessing and using the Website. Sportfive reserves all rights to the Website Content.

8. Third-Party Content

Your business dealings with, or participation in promotions of any third-party advertisers and merchants found on the Website or the Website Content, including payment for and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertisers or merchants. You hereby agree that:

Sportfive shall not be responsible or liable for any loss or damage of any kind incurred as a result of any such dealings or as a result of the presence of such advertisers or merchants on the Website; and that
Any order/s placed by you on, and any product specifications and product availability appearing on any Third-Party Content (including, and without limitation, any online store) are subject to confirmation by, and the terms and conditions of business of, the relevant advertiser or merchant.
Sportfive shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to have been caused by or in connection with the use of, or reliance upon any Third-Party Content. “Third-Party Content” means Website Content in the form of links or feeds from or to other websites or resources.

9. Sportfive Marks

Sportfive, the Sportfive logo, the mark emblems and mascots of the Events (“Sportfive Marks”) are trademarks and copyright material of Sportfive. You agree not to display or use the Sportfive Marks, Third-Party Content and or any other intellectual property owned or controlled by Sportfive in any manner without Sportfive’s prior written consent.

10. Modifications and Interruptions

You hereby agree that Sportfive shall not be held liable to you or to any third party for any inaccuracies, modification, suspension or discontinuance of the Website and/or Website Content. While Sportfive will take reasonable care in ensuring that the Website and Website Content are up to date, the Website and or Website Content may be out of date at any given time, and Sportfive is under no obligation to update them.

11. Data Protection Policy

By accessing or using the Website, or submitting your personal information to the Website, you agree to Sportfive’s use of such submitted data in accordance with the Privacy Policy (“Privacy Policy”).

12. Prohibited Activities

Use the Website for unlawful purposes;
Breach or attempt to breach Website security or authentication measures;
Engage in malicious activities such as malicious software distribution or engage in hacking activities affecting the Website and or Website Content.
Use automated systems, such as bots or scrapers, to access or interact with the Website without our consent.
Misrepresent your identity or affiliation with any entity in registering for an Account.

13. Disclaimers

13.1 If you access and use the Website, you do so at your sole risk. The Website and Website Content (including without limitation Third-Party Content) are provided on an “As Is” and “As Available” basis. Sportfive expressly disclaims, and you waive all warranties of any kind, whether express or implied, including, and without limitation, non-infringement of third-party rights.

13.2 Sportfive makes no warranty or representation that:

The Website and its Website Content will meet your requirements;
The Website and its Website Content will be uninterrupted, timely, secure or error-free;
The results and or statistics that may be obtained from the use of the Website or its Website Content will be accurate or reliable; and
Any errors on the Website or Website Content will be corrected or removed.

In using or browsing the Website, your computer system or browsing device may inevitably download Website Content. You agree to bear all risk in such inevitable downloading of Website Content. You will be solely responsible for any damage to your computer system (or browsing device) or loss of data that results from downloading and or accessing any Website Content.

14. Indemnification

You hereby agree to indemnify and hold Sportfive and its affiliates, licensors, licensees, officers, agents, and employees, harmless from any and all liabilities, losses, damages, claims, penalties, fines, costs and expenses, including without limitation, reasonable legal fees, that may arise in connection with:

Your use of and access to the Website and its Website Content, including without limitation, any Third-Party Content;
Your failure to comply with any provision of these Terms; and
Any claim by a third-party that any use of the Website or Website Content by you infringes any intellectual property, other proprietary or privacy rights of such third party or has otherwise caused damage to a third party.

15. Limitation of Liability

15.1 You expressly acknowledge and agree that Sportfive shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Sportfive has been advised of the possibility of such damages) regardless of the form of action, whether in contract, tort, strict liability or otherwise, including, without limitation, in relation to:

The use or inability to use your Account, the Website and or Website Content;
Unauthorised access to, or alteration of, your transmission of data including personal data;
Statements or the conduct of any third party on the Website or Website Content; or
The impact of the Website or Website Content and any materials provided on the Website or Website Content; or
Any other matter relating to the Website, Website Content and or your Account.

15.2 To the extent permitted by law, Sportfive’s maximum aggregate liability in contract, tort or otherwise (including any liability for any negligent act or omission) howsoever arising out of or in connection with your use and access of the Website, Website Content and or your Account shall be limited to an amount of one Singapore dollar ($1 SGD).

16. User-Generated Content

16.1 Ownership

Should there be an opportunity to submit content (e.g., comments, images, or videos) to the Website, you retain ownership but grant to Sportfive, a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content for any purpose in perpetuity.

16.2 Responsibility

You warrant that your submitted content:

Does not infringe on any third-party rights.
Complies with all applicable laws and regulations.
Is free from malicious software or harmful code.

16.3 Moderation

We reserve the right to moderate, edit, or remove any user-generated content at our discretion.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Singapore. Any disputes arising from these Terms shall be resolved exclusively in the courts of Singapore.

19. Miscellaneous

19.1 Severability

19.2 Waiver

Failure to exercise or enforce any part of these Terms does not constitute a waiver of our rights.

19.3 Entire Agreement

These Terms constitute the entire agreement between you and Sportfive Asia Pte Ltd regarding your use of the Website, Website Content, and your Account.
